Abstrakt Článek pojednává o preferenčních daňových režimech patentových boxů a zaměřuje se na jejich posuzování z hlediska souladu s pravidly Evropské unie o veřejných podporách a s evropskými a mezinárodními pravidly pro boj se škodlivou daňovou soutěží. Cílem článku je poukázat na to, že účelem těchto pravidel je omezit negativní důsledky zavedení těchto preferenčních režimů na hospodářskou soutěž a daňovou soutěž. Článek se soustředí převážně na problematiku v rámci EU, přičemž nabídne i mezinárodní kontext v rámci OECD. Nicméně problémem obou skupin pravidel, navzdory jejich odlišné závaznosti, je nedostatek jasnosti a riziko jejich různé interpretace, což má za následek nemožnost s jistotou určit, zda konkrétní režim patentových boxů bude prohlášen za neslučitelnou veřejnou podporu nebo za škodlivý pro daňovou soutěž. Článek dochází k závěru, že sice v případě pravidel veřejných podpor neexistuje opora v podobě judikatury SDEU, ale na základě posouzení v teoretické rovině s přihlédnutím k obdobným daňovým případům mohou režimy patentových boxů naplnit všechny znaky veřejné podpory. Správným nastavením se tyto režimy ale mohou vyhnout posuzování z hlediska jejich škodlivosti na daňovou soutěž.
The aim of the article is to discuss preferential patent box tax regimes and it focuses on their assessment in terms of compliance with European Union state aid rules and European and international rules to combat harmful tax competition. The aim of the article is to point out that the purpose of these rules is to limit the negative effects of the introduction of these preferential regimes on competition within the EU and tax competition. The article focuses mainly on issues within the EU, offering an international context of the OECD. However, the problem of both sets of rules, despite their differing binding nature, is the lack of clarity and the risk of their various interpretations, which results in the inability to determine with certainty whether a particular patent box regime will be declared as incompatible state aid or harmful tax competition. The article concludes that, in the case of state aid rules, there is no support in the CJEU case law, but on the basis of theoretical assessment taking into account similar tax cases patent box regimes can fulfill all the conditions for state aid to exist. By adjusting properly, these regimes can avoid the assessment of their harmfulness to tax competition.

Abstrakt Tato práce pojednává o institutu zajišťovacích příkazů, jak jsou definovány v zák. č. 280/2009 Sb., daňový řád. V první části práce jsou zajišťovací příkazy rozebrány teoreticky, tedy jejich funkce, způsob a podmínky použití i jejich ukončení. Také je v této části upozornění na statistiku vydaných zabezpečovacích příkazů. Podkladem pro tuto část práce jsou především komentáře daňového řádu od Baxy a Kaniové a Lichnovského, dále nová publikace na téma zajišťovacích příkazů od Vladimíra Balcara a články odborníků na toto téma z řad daňových poradců, Tomáše Hajduška a Jana Rambouska. Druhá část práce obsahuje rozbor dvou judikátů, které společně prokazují, že zajišťovací příkazy nejsou ani negativní, ani pozitivní, pouze záleží na jejich využití správcem daně.
This work explains the institute of securing direction, as defined in Act n. 280/2009, Coll., tax code. The first part of the work in concerned with the theory of securing directions, meaning their function, the way they are used and conditions for use as well as their termination. In this part, there are also the statistics of their issue by the financial government. This part of the work is based on commentaries of the Tax Code by Baxa and Kaniová, and Lichnovský, also a new publication by Vladimír Balcar and articles by experts on this topic from the ranks of tax advisors, Tomáš Hajdušek and Jan Rambousek. The second part of the work contains a description of two court decisions that prove that the institute is neither negative nor positive by itself, but it depends on its use by the financial government.

Abstrakt Článek se zabývá aktuální problematikou z oblasti rozpočtového práva v České republice a to fungováním municipálního finančního systému. Pozornost je zaměřena na vybrané aspekty rozpočtového procesu, jeho jednotlivé etapy a současně i na rozpočtové zásady, kterými je proces ovládán. Současně je na tomto místě také zmíněno vytváření peněžních fondů účelových či neúčelových, jako součást finančního systému na úrovni územní samosprávy. Autorka tohoto článku čtenářům předkládá krátkou analýzu této problematiky a doplňují ji o vlastní názory a poznatky z praxe.
The article deals with current issues in the field of budgetary law in the Czech Republic by the functioning of the municipal financial system. Attention is focused on selected aspects of the budgetary process, its individual stages and, at the same time, the budgetary principles that govern the process. At the same time, the creation of money funds, whether purpose-built or not, as part of the financial system at the level of territorial self-government, is also mentioned here. The author of this article provides readers with a brief analysis of this issue and complements it with their own opinions and lessons learned from practice.

Abstrakt Účelem článku je analyzovat efektivitu nových pravidel zdanění ovládané zahraniční společnosti (CFCs), který by v souvislosti s transpozicí směrnice ATAD měl být upraven v zákoně o daních z příjmů. Práce s využitím teoretických i praktických (empirických) poznatků ze zahraničí analyzuje jednotlivé aspekty těchto pravidel, upozorňuje na zásadní nedostatky navrhované právní úpravy a zároveň navrhuje řešení, jak těmto nedostatkům předejít, aby byl naplněn smysl těchto pravidel. Hlavními dvěma nedostatky jsou jednak skutečnost, že se pravidla týkající se zdanění zahraničních ovládaných společností (CFCs) nepoužijí na poplatníky daně z příjmů fyzických osob (s tím souvisí také nevyužití možnosti zakotvení foreign investment funds pravidel do právního řádu České republiky).
The aim of the article is to analyse new CFC rules that should become part of the Czech Income Tax Act. The analysis focuses on theoretical and practical knowledge gathered from other countries where these rules have been enacted for a long period of time. The outcome of this analysis is that new CFC rules have serious flaws that render them almost useless. The article also suggests solutions of these loopholes that should make the Czech CFC rules more efficient and in accordance with their purpose, i.e. to tackle tax avoidance.

Abstrakt This paper examines the interconnectedness of taxation and corporate governance. Focusing on the agency problems emerging between shareholders and managers, the paper introduces an emerging concept of corporate governance view of taxation, according to which there is a conflict between strategic tax behavior and corporate governance because tax planning tends to reduce transparency as it leads to convoluted, tax-driven corporate structures which negatively impact corporate governance. Next, it discusses how tax law can be used as a tool to improve corporate governance and, conversely, how corporate governance can be used as a tool to improve tax compliance. Finally, the paper briefly discusses how corporate social responsibility fits in the analysis and analyzes its potential effects on tax compliance. Overall, tax law and corporate governance rules can foster each other from both practical and theoretical perspective; policymakers should evaluate each sets of rules to make sure they act in concert and further the same objective more effectively together, while the trinity of stakeholder theory, the real entity theory, and CSR may serve as a coherent whole to foster legal doctrine suitable to support such practical considerations.
