Abstrakt V loňském roce přijala Rada Evropské unie směrnici, která zavádí povinnost oznamovat některá daňově optimalizační schémata. Směrnice velmi podrobně stanoví, jaké vlastnosti musí daňově optimalizační schéma vykazovat, aby jej bylo nutné oznamovat, co se o schématu musí oznamovat a kdo má oznamovací povinnost. Směrnice ale nestanoví, co to vlastně daňově optimalizační schéma je, v důsledku čehož lze očekávat závažné aplikační problémy, až opatření vejde v platnost. Článek rozebírá, co s určitou pravděpodobností je a co není tímto schématem.
Last year, the Council of the European Union adopted a directive, which imposes a duty to report certain tax optimization schemes. The directive stipulates, which properties of the tax optimization scheme result in the duty to report the scheme, what information must be reported and who bears the reporting duty. However, the directive does not stipulate, what the tax optimization scheme really is. Therefore, after the proposed measure will come into force, one can expect to encounter severe problems related to its application. The topic of this article answers the question of what the tax optimization scheme most likely is and is not.

Abstrakt Autor se v článku zamýšlí nad evropským kontextem českého návrhu zákona o zdanění digitálních společností. Je přitom konstatováno, že určitá míra nerovnoměrného zatížení daňových subjektů bezpochyby existuje, to však ještě bez dalšího neznamená, že obdoba „narovnávací daně“ tuto situaci uspokojivě vyřeší. Jako vhodnější řešení se jeví novelizace stávajících zákonů upravujících tradiční daně, a to daň z přidané hodnoty a daň z příjmů. Článek přibližuje také rakouský koncept digitální daně.
The article reflects on the European context of the Czech bill on taxation of digital companies. While there is no doubt that there is a certain uneven burden on taxpayers, this does not mean that the equivalent of a 'straightforward tax' will satisfactorily help to this situation. The amendment of existing laws governing traditional taxes, namely value added tax and income tax, seems to be a more appropriate solution. The article also discusses the Austrian concept of digital tax.

Abstrakt S účinností od 1. dubna 2019 bylo do právního řádu České republiky transponováno obecné pravidlo proti zneužívání prostřednictvím nového ustanovení § 8 odst. 4 zákona č. 280/2009 Sb., daňový řád. Cílem tohoto příspěvku je analýza důvodů a okolností, které vedly zákonodárce k transponování GAAR do českého právního řadu, dále pak analýza jednotlivých problematických oblastí implementace a aplikace GAAR a v neposlední řade vyhodnocení provedené analýzy. V závěru příspěvku je provedeno shrnutí provedené analýzy a konstatování hlavních závěrů.
With effect from 1 April 2019 General Anti-Abuse Rule has been implemented in the Czech legal environment through new section 8 par. 4 of Law No. 280/2009 Coll., the Tax Code. The purpose of this article is comprehensive analysis of reasons and circumstances which led the legislator to transposition of GAAR in the Czech legal system, further analysis of problematic parts of the implementation and application of GAAR and evaluation of the analysis. The conclusion of the article consists of analysis' summary and definition of main results of the analysis.

Abstrakt Cílem článku je vymezit pojem finance a veřejné finance, definovat postavení veřejných financí v ekonomii a v rámci vědeckých disciplín. Vymezení vzájemných vztahů mezi jednotlivými pojmy je téma, kterým se dostupná právnická literatura příliš nezabývá, přičemž různé úhly pohledu nalézáme především v odborných publikacích s ekonomickým zaměřením. Ve skutečnosti se ale jedná o velmi důležité pojmy nejen z oblasti národního hospodářství a makroekonomie, ale také finančního práva. V České republice, kde dochází téměř s pravidelností ke změnám v právních předpisech, je nezbytné na veřejné finance pohlížet také jako na něco, co je třeba neustále aktualizovat na základě praktických, teoretických i vědeckých poznatků, neboť ovlivňují chování mnoha subjektů na trhu. Autorka tohoto článku čtenářům předkládá krátkou analýzu této problematiky.
The aim of the article is to define the concept of finance and public finances, to define the position of public finances in economics and within scientific disciplines. The definition of mutual relations between individual concepts is a topic that is not dealt with in the available legal literature, and we find various points of view mainly in professional publications with economic focus. But in fact, these are very important terms not only in the field of national economy and macroeconomics, but also in financial law. In the Czech Republic, where changes in legislation are almost regular, public finances must also be seen as something that needs to be constantly updated on the basis of practical, theoretical and scientific knowledge, as they affect the behavior of many market players. The author of this article presents readers a brief analysis of this issue.

Abstrakt Cílem tohoto článku je zaměřit se na problematiku platebních systémů, vymezit alternativní platební systémy, shrnout účinnou právní úpravu jejich regulace na území České republiky a následně kriticky zhodnotit míru této regulace s ohledem na budoucí možný technologický vývoj v této oblasti. V úvodních částech tohoto článku se autor zaměřuje na obecnou definici platebních systémů, jejich teoreticky vymezené varianty dělení druhů platebních systémů. V další části je podrobněji rozveden platební systém s neodvolatelností zúčtování jako příklad tradičního platebního systému a poté autor rozebírá tři potenciální alternativy, které by bylo možné za alternativní platební systémy považovat. Jedná se o mobilní platby a s nimi související mobilní peněženky, dále systém, na kterém jsou založeny digitální měny, a závěrem systémy elektronických peněz. U každé z těchto variant je zevrubně vysvětleno jejich fungování a poté je odůvodněn závěr, zdali je lze či nelze považovat za alternativní platební systém. U druhé a třetí varianty autor dospěl k závěru, že tyto systémy za alternativní platební systémy považovat lze. V závěrečné části článku je rozebrána právní regulace variant alternativních platební systémů, přičemž vzhledem k faktu, že digitální měny nejsou na území České republiky téměř regulovány, je převážná část zaměřena na vydávání elektronických peněz a práva a povinnosti s nimi související.
The aim of this article is to focus on payment systems, define alternative payment systems, summarize the effective regulation in the Czech Republic and then critically evaluate the level of this regulation regarding future technological developments in this area. In the introductory parts of this article the author focuses on the general definition of payment systems, the possibilities of their theoretical division. The next section describes the payment system with settlement finality as an example of a traditional payment system and then discusses three potential alternatives that could be considered as alternative payment systems. These are mobile payments and mobile wallets related thereto, the system on which digital currencies are based, and finally electronic money systems. For each of these options, their operation is explained in detail and then the conclusion is made as to whether they can be considered as an alternative payment system. The author concluded that second and third options could be considered alternative payment systems. In the final part of this article, the legal regulation of alternative payment systems is discussed, whereas since digital currencies are almost not regulated at all in the Czech Republic, the main focus is aimed on issuance of electronic money and rights and obligations related thereto.

Abstrakt In recent years, regulatory attention has been paid to securitization mainly because of its role in the 2008 financial crisis. The restrictive post-crisis regulatory response led to a significant reduction of the issuance volume of the EU securitization transactions whereby the EU economy lost one of the important funding channels for economic growth. This article thus focuses on the recent EU regulatory efforts to integrate and revive the EU securitization market which resulted into adoption of the so-called Securitization Regulation on 17 January 2018. Rather than providing a comprehensive doctrinal interpretation of the text of law, this article aims to lay down historical, economic as well as practical background of the regulation of securitizations. Firstly, it is devoted to the description of the securitization process, Secondly, it focuses on the key institutes of the Securitization Regulation. Thereafter, attention is paid to “simple, transparent and standardized” securitizations, process of obtaining the STS label and introduction the very first STS securitizations notified at the EU securitization market. Finally, it addresses a gap in the Czech legal sources and assesses an impact of the Securitization Regulation on Czech law and Czech securitization market participants. The scientific method of analysis and description was used.

Abstrakt This article shows the recent development of the illicit activities in the cryptocurrency environment. The text describes the ongoing switch from an individual criminal who perpetuates conversion related crimes to the more complicated criminal schemes of wash trading perpetuated by the cryptocurrency exchanges or other organized groups. The unresolved background question remains whether the exchanges unknowingly allow the abuse of their systems or whether they purposefully avail themselves with the proceeds of the criminal activity. Even thought, the evidence supporting direct involvement is scarce the overall circumstances suggest it. In response the US government proposed two bills allocating more power to the corresponding federal agencies to repudiate those frauds and to protect the customers.
