Abstrakt Samostatná evidence investičních nástrojů je významným prvkem regulace českého kapitálového trhu. V tomto článku se proto věnujeme obecnému vymezení tohoto institutu a jeho základním aspektům. Nejprve jsou proto blíže vymezen okruh investičních nástrojů, které mohou být takto evidovány, a také okruh subjektů oprávněných k vedení samostatné evidenci. V další části jsou analyzovány vybrané základní zásady vedení této formy evidence. V poslední části článku pak autor předkládá úvahy de lege ferenda směřující ke komplexním změnám v principech relevantní právní úpravy, které by bylo vhodné implementovat za účelem zvýšení konkurenceschopnosti České republiky v oblasti finančních služeb.
Independent register of investment instruments is important component of the Czech legislation regulation capital market. This article therefore focuses on general analysis of this institute and its fundamental aspects. Firstly, investment instruments eligible to be registered in this kind of registrar are defined, together with the list of subjects authorized by the law to keep such a registrar. In the next part of the article, the selected fundamental principles of independent registrar are analysed. Finally, in the last chapter, de lege ferenda suggestions are provided aiming to the complex changes in the principles of relevant laws and regulations that would be appropriate to make the Czech Republic competitive in the area of financial services.

Abstrakt Předmětný článek přináší nastínění problematiky týkající se kolize národních právních předpisů regulujících provozování online hazardních her, zejména pak z pohledu nastavení kritérií, za kterých se fyzické osoby mohou těchto her účastnit. Rozpor mezi těmito kritérii má primárně za následek, že se určité fyzické osoby mohou účastnit online hazardních her ve více zemích současně, a to zcela v souladu s příslušnými národními právními řády. V rámci článku je nejprve popsán konkrétní příklad takového střetu národních úprav, a to velice pravděpodobný střet české úpravy dle zákona o hazardních hrách a návrhu připravované slovenské úpravy, která byla již notifikována Evropské komisi. Následně jsou popsány obecné příčiny, které takovéto kolize právních norem různých států způsobují a dále rovněž i následky, které vyplývají ze skutečnosti, že se jedna fyzická osoba může účastnit online hazardních her ve více jurisdikcích současně. Závěrem jsou zhodnocena možná řešení, jejichž prostřednictvím by bylo možné tyto konflikty národních právních úprav odstranit.
This article provides an outline of the issue of a collision national laws regulating the operation of online gambling, especially in terms of setting the criteria under which individuals can participate in these games. The discrepancy between these criteria primarily results in the fact that certain individuals may participate in online gambling in multiple countries at the same time, in full compliance with the relevant national laws. The article describes a concrete example of such a conflict of national laws, namely probable conflict of the Czech regulation according to the Gambling Act and the draft of new Slovak Gambling Act, which has already been notified to the European Commission. Subsequently, article describes the general causes of such national laws collisions, as well as the consequences that arise from the fact that one individual can participate in online gambling in multiple jurisdictions at the same time. Finally, possible solutions are being evaluated to overcome these conflicts of national law.

The activities of undertakings have more and more cross-border effects. The proper functioning of the internal market requires that cross-border insolvency proceedings should operate efficiently and effectively. The submitted paper tries to find out most problematic issues during insolvency proceedings with international element. The Insolvency Regulation s includes provisions governing jurisdiction for opening insolvency proceedings and actions which are directly derived from insolvency proceedings and are closely linked with them, but there are many other questions, which are not directly derived from insolvency proceeding and which are governed for example by lex societatis. In spite of some preliminary reference rullings by the Court of Justice, the demarcation between lex societatis and the lex concursus remains uncertain.

Abstrakt This article describes the basics of American regulation of cryptocurrencies (Bitcoin etc.). The interesting point is that the United States have different federal or independent agencies that each see the Bitcoin phenomenon differently. SEC sees Bitcoin as a security whereas the CFTC sees Bitcoin as a commodity. IRS sees Bitcoin as a mere property. This article further provides the reasoning for each different point of view on Bitcoin.
